We, Us: Katie’s Cards Ltd.

You: an entrant in the Competition run by Katie’s Cards Ltd.

The Ideas: Christmas Ecard Ideas submitted to the Competition by you

Content: Any Design, animation text or images created as a result of any Ideas submitted to the Competition

By submitting an idea to the Katie’s Cards competition you agree to the terms and conditions which are:

1. Any content and design created as a result of Ideas submitted to the competition may differ substantially from the idea submitted.

2. We may change these terms from time to time. The terms that apply to you are those posted here and are subject to change without notice.

3. We can not accept responsibility if, for reasons within or outside our control, your competition entry does not appear on our Facebook page, or a problem occurs that prevents it from reaching us. We will endeavour to do all in our power to ensure the smooth running and availability of the competition.

4. The winners will be selected by Katie’s Cards Ltd. at our discretion and the decision will be final and indisputable.

Content and Intellectual Property Rights

1.Title, ownership rights, and intellectual property rights in the Content created as a result of any ideas submitted to the Competition by You will remain the property of Katie’s Cards Ltd. You hereby assign to Us, with full title guarantee and free from all third party rights, the copyright and all and any other intellectual property rights in and to the Ideas submitted.

1.1 You warrant that the Ideas submitted are original ideas and have not been, or will not be, copied from any other source and that use by Katie’s Cards Ltd. will not infringe the rights of any other party.

1.2 You agree and undertakes to provide to Us (at our request) all reasonable assistance with any proceedings which may be brought by or against Katie’s Cards Ltd. against or by any third party relating to the rights assigned by this agreement.

2. Waiver of moral rights, You, being the sole author of the Ideas, waives absolutely his moral rights arising under Chapter 4 of the Copyright, Designs and Patents Act 1988 and, so far as is legally possible, any broadly equivalent rights he may have in any territory of the world.

3. Governing law and jurisdiction
This Competition shall be governed by and construed in accordance with the law of England and each party irrevocably agrees to submit to the exclusive jurisdiction of the courts of England and Wales over any claim or matter arising under or in connection with this agreement.

4. You may not copy, modify, publish, transmit, transfer or sell, reproduce, create derivative works from, distribute, perform, display, or in any way exploit any of the Content, in whole or in part, except as is expressly permitted in this agreement.

5. You may download or copy the Content only for your own personal use, provided that you maintain all copyright and other notices contained in such Content. You may not store electronically any significant portion of any Content.
